Terms of Service
1. Acceptance of Terms
By accessing the Elite TM&PT website or purchasing services, you agree to be bound by these Terms. If you do not agree, cease use immediately.
2. Services & Fees
Service descriptions are provided with best efforts accuracy but may evolve. Fees are as quoted in the signed agreement; non-payment incurs 1.5% monthly interest. All services are non-refundable unless otherwise stated in the contract.
3. Intellectual Property
All materials (frameworks, worksheets, recordings) are copyrighted by Elite TM&PT. Client may use for internal purposes only; resale or redistribution prohibited. Third-party trademarks belong to their owners.
4. Limitation of Liability
Total liability is limited to fees paid in the preceding 12 months. We are not liable for indirect, consequential, or special damages. Services are provided ‘as is’ without warranties of merchantability or fitness for a particular purpose.
5. Confidentiality
Both parties agree to protect confidential information (trade secrets, client data) for 3 years post-termination. Exceptions: public info, required by law.
6. Term & Termination
Agreements auto-renew unless 30-day written notice provided. Either party may terminate for material breach after 10-day cure period.
7. Governing Law & Dispute Resolution
Disputes governed by laws of Delaware, USA. Mandatory arbitration (JAMS) in Pittsburgh, PA; class actions waived.
8. Severability & Entire Agreement
Invalid provisions severed; remaining terms survive. These Terms constitute entire agreement superseding all prior communications.
